Overview

Welcome to EventBabel! We are a community-driven platform dedicated to bringing the world together through live experiences, through enabling people all over the world to use a set of tools, apps and services,  to help them to tie valuable contacts, keep in touch with friends, inform others of event-related news, create, manage, discover, share and register for events.This website is operated by EventBabel. Throughout the site, the terms “we”, “us” and “our” refer to EventBabel. EventBabel offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

EventBabel’s websites and domains, including eventbabel.com, and all of the webpages, subdomains, country level domain variants and subparts of those websites (collectively, our “Site”), all of the services available on or through the Site or otherwise provided by us (including our application programming interfaces), and all of our free mobile applications (collectively, the “Applications”) are offered, maintained and provided by EventBabel. We refer to all of these as our “Services.”

Through the Services, EventBabel provides a simple and quick means for registered users who are event organizers, planners and charitable organizations (“Organizers”) to create event and other webpages related to their events, to promote those pages and events to visitors or browsers on the Services and to sell tickets and registrations (or issue free registrations), solicit donations and sell merchandise related to those events to users who wish to make purchases, registrations or donations from or to such events (including to free events) (“Attendees”). We refer to Organizers, Attendees and other visitors and browsers of the Services collectively as “Users” or “you.”

By visiting our Site and/ or using our Services, you agree to be bound by the following terms and conditions (“Terms of Use” or “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms apply  to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content.

Please read these Terms carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms are considered an offer, acceptance is expressly limited to these Terms.

Any new features or tools which are added to the current store shall also be subject to these Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

SECTION 1 – TERMS OF USE

EventBabel hereby grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited right to access and use the Services solely for the purposes of (a) browsing the Services and searching for, viewing, registering for or purchasing tickets or making donations to an event that is registered on the Services and other goods and services being sold or provided in conjunction with such events; and/or (b) create, update and manage your user profile, including publishing and sharing Your Content and Information; and/or (c) if you are an Organizer, creating event pages and other webpages with respect to, and promoting, managing, tracking, and collecting sales proceeds for, an event; in each case (i) in compliance with these Terms; and (ii) to the extent permitted under all applicable local, state, provincial, national and other laws, rules and regulations. Notwithstanding the foregoing, you shall not, and shall not permit anyone else to, directly or indirectly (A) copy, modify, reproduce, translate, localize, port or otherwise create derivatives of any part of the Services; (B) reverse engineer, disassemble, decompile or otherwise attempt to discover the source code or structure, sequence and organization of all or any part of the Services (except that this restriction shall not apply to the limited extent restrictions on reverse engineering are prohibited by applicable local, state, provincial, national or other law, rule or regulation); (C) rent, lease, resell, distribute, use the Services for timesharing, service bureau or other commercial purposes not contemplated by this paragraph or otherwise exploit the Services in any unauthorized or unintended manner; (D) remove or alter any proprietary notices or labels on or in the Services; or (E) engage in any activity that interferes with or disrupts the Services. Any rights not expressly granted in this paragraph are reserved.

You may access and use the Services through our Applications. For clarity, any access to or use of the Services via the Applications and the Applications themselves shall be deemed to be part of the Services and subject to these Terms. This right to access and use the Applications may be revoked in accordance with these Terms.

A breach or violation of any of the Terms will result in an immediate termination of your Services.

SECTION 2 – EventBabel’s Role

EventBabel is not the organizer or owner of the events listed for registration on the Services. EventBabel provides the Services, which allow Organizers to list and promote their events, but all sales are made by the respective Organizer listed on the applicable event page. In the event that an Organizer has elected to use EventBabel’s payment processing service, EventBabel also acts as the Organizer’s limited agent solely for the purpose of using its third party payment providers to collect payments made by Attendees on the Services with respect to an event and passing such payments through to the applicable Organizer. It is the Organizer’s sole obligation to ensure that any event page posting on the Services and the nature and conduct of the underlying event meet all applicable local, state, provincial, national and other laws, rules and regulations, and that the goods and services described in any event page posting are actually delivered in a satisfactory manner.

As an Organizer, you may select your preferred payment processing method for your event. As an Attendee, you will be using whatever payment processing method the Organizer of the applicable event has selected. If the Organizer has selected a payment processing method that uses a third party to process the payment, then neither EventBabel or any of its third party payment processing partners processes the transaction but may transmit your payment details to the Organizer’s designated payment provider. If the Organizer has elected to use EventBabel’s payment processing service, EventBabel will use third party payment processing partners to process the transaction as Organizer’s limited payment agent.

Creating an account, listing an event and accessing the Services is free. We charge our fees only on the resale of user purchases of events’ tickets and other goods and services being sold or provided in conjunction with such events (the “Automatic Resale Service”). These fees may vary based on individual agreements between EventBabel and certain Organizers. EventBabel does not control (and thus cannot disclose) fees levied by your bank and/or credit card company, including fees for purchasing tickets and other goods and services being sold or provided on the Site in foreign currencies or from foreign persons. Be sure to check with your bank or credit card company prior to engaging in a transaction to understand all applicable fees, credit card surcharges and currency conversion rates.

Because all transactions are between an Organizer and its respective Attendees, EventBabel asks that all Attendees contact the applicable Organizer of their event with any refund requests. Organizers agree to respond to any refund request in the case the Attendee has elected to use the Automatic Resale Service with respect to any events’ tickets and any other goods and services being sold or provided in conjunction with Organizers’ events and to pay the relevant fees accrued as per the paragraph above, to the extent the tickets, goods and services are subsequently sold as notified or otherwise communicated to the Organizers through the Site. In the event that an Organizer has not responded to a refund request within two (2) business days or there is a dispute between an Organizer and an Attendee that cannot be resolved, either party may contact EventBabel. EventBabel may, in its discretion, attempt to mediate such dispute, however, EventBabel will have no liability for (a) an Organizer’s failure to give refunds; (b) EventBabel’s failure to mediate a dispute; or (c) EventBabel’s decision if it does mediate the dispute.

SECTION 3 – USER’S INFORMATION

3.1 Registration

As part of certain registration processes on the Services, you will create an account or change or add information about your account. You agree (a) to provide true, accurate, current and complete information about yourself, or if you are using the Services on behalf of an entity, the entity, as prompted by each Service registration form (the “Registration Data”); (b) to not use a false e-mail address or pretend to be someone other than yourself; and (c) to maintain and promptly update the Registration Data to keep it true, accurate, current and complete.

In the event of any dispute between two or more parties as to account ownership, you agree that EventBabel shall be the sole arbiter of such dispute in its discretion and that EventBabel’s decision (which may include termination or suspension of any account subject to dispute) shall be final and binding on all parties.

We are not responsible if information made available by you on the Site is not accurate, complete or current. The material on the Site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on the Site is at your own risk.

3.2 Security

You are responsible for maintaining the confidentiality of your password and account details, and are fully responsible for all activities that occur under your account, including without limitation, all actions by sub-users registered under your account. You agree to immediately notify EventBabel of any unauthorized use of your password or account or any other breach of security.

3.3 Age Restrictions

To be consistent with the terms of use of any third party service providers used by EventBabel, you must be at least eighteen (18) years of age, or the legal age of majority where you reside, to use the Services. Otherwise you may use the Services only with the involvement of a parent or guardian. In any event, you may not use the Services if you are under the age of thirteen (13).

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.

SECTION 4 – CONTENT

4.1 Site Content

You agree that all material, including without limitation information, data, text, editorial content, design elements, look and feel, formatting, graphics, images, photographs, videos, music, sounds and other content (collectively, “Content”), contained in or delivered via the Services or otherwise made available by EventBabel in connection with the Services (collectively, “Site Content”) is protected by copyrights, trademarks, service marks, trade secrets or other intellectual property and other proprietary rights and laws. EventBabel may own the Site Content or portions of the Site Content may be made available to EventBabel through arrangements with third parties. The compilation of all Site Content included in or made available through the Services is the exclusive property of EventBabel and is protected by copyright laws. Except as expressly authorized by EventBabel in writing or in connection with your permitted use of the intended functionality of the Services, you agree not to sell, license, rent, modify, distribute, duplicate, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, exploit, edit or create derivative works of any Site Content, or post any Site Content on any other website or in a networked computer environment for any purpose. You shall use the Site Content only for purposes that are permitted by these Terms and any applicable local, state, provincial, national or other law, rule or regulation. Any rights not expressly granted herein are reserved.

We reserve the right to modify or update the Site Content at any time. You agree that it is your responsibility to monitor changes to the Site Content.

4.2 Your Content

You acknowledge and agree that if you contribute, provide or make available any Content to the Services (“Your Content”), you hereby grant to EventBabel a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable, sublicensable (through multiple tiers) right and license to access, use, reproduce, transmit, adapt, modify, perform, display, distribute, translate, publish and create derivative works based on Your Content, in whole or in part, in any media, for the purpose of operating the Services.

Notwithstanding the foregoing, EventBabel does not claim, and you do not transfer, any ownership rights in any of Your Content and nothing in these Terms will restrict any rights that you may have to use and exploit Your Content outside of the Services. You represent and warrant that you have all the rights, power and authority necessary to grant the foregoing license, and that all Your Content (a) does not infringe, violate, misappropriate or otherwise conflict with the rights of any third party; (b) complies with all applicable local, state, provincial, national and other laws, rules and regulations; (c) does not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website; and (d) does not violate the Terms, including without limitation these Terms and the Privacy Policy. In addition, Your Content must be accurate and truthful. You are solely responsible for any comments you make and their accuracy and we take no responsibility and assume no liability for any comments posted by you or any third-party. EventBabel reserves the right to remove any of Your Content from the Services at any time if EventBabel believes in its discretion that it is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms. In addition, you agree that EventBabel may use your name and logo (whether or not you have made it available through the Services) for the purpose of identifying you as an existing or past customer of EventBabel both on the Services and in marketing, advertising and promotional materials.

4.3 Feedback & Revisions

You hereby acknowledge that (a) any and all suggestions for correction, change and modification to the Services and other feedback (including but not limited to quotations of written or oral feedback), information and reports provided to EventBabel by you (collectively “Feedback”); and (b) all improvements, updates, modifications or enhancements, whether made, created or developed by EventBabel or otherwise relating to Feedback (collectively, “Revisions”), are and will remain the property of EventBabel. All Feedback and Revisions become the sole and exclusive property of EventBabel and EventBabel may use and disclose Feedback and/or Revisions in any manner and for any purpose whatsoever without further notice or compensation to you and without retention by you of any proprietary or other right or claim. You hereby assign to EventBabel any and all right, title and interest (including, but not limited to, any patent, copyright, future copyright, trade secret, trademark, show-how, know-how and any and all other intellectual property right) that you may have in and to any and all Feedback and Revisions. You hereby agree to waive any moral rights you may have in any and all Feedback and Revisions, and consent to any act which amounts to an infringement of any such moral right, in favor of EventBabel. At EventBabel’s request, you will execute any document, registration or filing required to give effect to these provisions.

SECTION 5 – SUB-DOMAINS

EventBabel may provide you with the right to use a sub-domain within the Site (e.g., myevent.eventbabel.com) for a given event. All such sub-domains are the sole property of EventBabel and we reserve the right to determine the appearance, design, functionality and all other aspects of such sub-domains. In the event EventBabel provides you with a sub-domain, your right to use such sub-domain will continue only for so long as your event is actively selling on the Services and you are in compliance with these Terms. If EventBabel terminates your right to use a sub-domain for any other reason, it will provide you with a new sub-domain.

SECTION 6 - ACCURACY OF PURCHASE AND ACCOUNT INFORMATION

You agree to provide current, complete and accurate purchase and account information for all purchases made at our Site.

SECTION 7 - OPTIONAL TOOLS

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms.

SECTION 8 - THIRD-PARTY LINKS

8.1 Third Party Websites

The Services may provide, or Users may provide, links to other Internet websites and/or resources from third-parties. Because EventBabel has no control over such websites and resources, you acknowledge and agree that EventBabel is not responsible for the availability of such websites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products, services or other materials on or available from such websites or resources, or any damages or losses related thereto, even if such websites or resources are connected with EventBabel partners or third party service providers.

Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

8.2 Linked Accounts

As part of the Services you may be able to link an account you have with a third party service, such as a social media website. By linking such third party account, you agree that EventBabel may access, make available to and store any Content that you have provided to and stored in such third party account so that it is available on or through the Services. Such content may include personally identifiable information.

SECTION 9 – PRIVACY POLICY AND COOKIES POLICY

All information provided by Users or collected by EventBabel in connection with the Services is governed by our Privacy Policy and Cookies Policy, a copy of which is located here. The Privacy Policy and the Cookies Policy are incorporated into these Terms by reference. EventBabel strongly recommends that you review them.

SECTION 10 - PROHIBITED USES

You understand that you are liable for all Content, in whatever form, that you provide or otherwise make available to or through the Services, including to other users of the Services.

In addition to other prohibitions as set forth in these Terms, you agree not to use the Services or the Site to:

(a) upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;

(e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;

(b) harm minors in any way;

(c) facilitate gambling, gaming, lotteries, raffles, contests, sweepstakes and/or any other activity featuring the award of a prize other than raffles, contests or sweepstakes;

(d) impersonate any person or entity, including, but not limited to, an EventBabel representative, or falsely state or otherwise misrepresent your affiliation with a person or entity;

(e) forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the Services;

(f) upload, post, email, transmit or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);

(g) upload, post, email, transmit or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, right of publicity or personality, or other intellectual property or proprietary rights of any person or entity;

(h) upload, post, email, transmit or otherwise make available any Content related to the sale or provision of goods and services other than the sale or provision of tickets and registrations to bona fide events listed on the Services and other goods and services being sold or provided in conjunction with such events;

(i) upload, post, email, transmit or otherwise make available any Content that contains viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of or to otherwise interact with the Services in a manner not permitted by these Terms;

(j) interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Services;

(k) attempt to probe, scan or test the vulnerability of any EventBabel server or network or breach any security or authentication measures, unless you are an authorized contractor of EventBabel specifically engaged to provide such services;

(l) attempt to avoid or circumvent any technological measure implemented by EventBabel to protect the Services or Content on the Services, including without limitation, encryption technology used to protect sensitive personal information;

(m) solicit any User to use a third party service that competes with EventBabel;

(n) advertise your event but complete sales independent of the Services in order to circumvent the obligation to pay fees related to the Services;

(o) intentionally or unintentionally violate any applicable local, state, provincial, national or other law, rule or regulation, including without limitation laws and regulations regarding the sale of tickets or other goods and services;

(p) resell events’ tickets or and other goods and services being sold or provided in conjunction with such events;

(h) collect or track the User’s personal information;

(s) stalk or otherwise harass any person or entity.

You acknowledge that EventBabel does not pre-screen Your Content or the Content of any other User in connection with the Services, but that EventBabel and its designees shall have the right (but not the obligation) to monitor, alter, edit or remove any of Your Content, in whole or in part, based on violations of these Terms. If we believe that Your Content could be changed so as to not violate the Terms, we will attempt to send you notice prior to taking any such action, provided, that if we must act immediately to comply with applicable local, state, provincial, national or other law, rule or regulation or to limit our liability, we may take such action without prior notice. You acknowledge and agree that EventBabel may preserve Your Content and account information and may also disclose Your Content and account information if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to (a) comply with legal process; (b) respond to claims that any of Your Content violates the rights of third parties; (c) enforce or administer these Terms; and/or (d) protect the rights, property and/or personal safety of EventBabel, its users and/or the public, including fraud prevention. You understand that the technical processing and transmission of the Services, including Your Content, may involve transmissions over various networks and/or changes to conform and adapt to technical requirements of connecting networks or devices.

SECTION 11 - DISCLAIMER OF WARRANTIES; MODIFICATION OF THE SERVICES; LIMITATION OF LIABILITY

We do not guarantee, represent or warrant that your use of our Services will be uninterrupted, timely, secure or error-free. We do not warrant that the results and/or the qualities of any Services, information, or other material purchased or obtained by you from the use of the Services will be accurate or reliable or meet your expectations.

We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) and/or to refuse or limit the use of our Services or of any part thereof, to any person, geographic region or jurisdiction, at own sole discretion without notice at any time. We do not guarantee any set of features or functionality and reserve the right at any time to modify, suspend or discontinue, temporarily or permanently, any part of the Services for any reason.

You expressly agree that your use of, or inability to use, the Services is at your sole risk. The Services are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.

In no case shall EventBabel, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.

SECTION 12 - INDEMNIFICATION

You agree to indemnify, defend and hold harmless EventBabel and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

SECTION 13 - SEVERABILITY

In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms, such determination shall not affect the validity and enforceability of any other remaining provisions.

SECTION 14 - TERMINATION

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or when you cease using our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).

SECTION 15 - ENTIRE AGREEMENT

The failure of us to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

These Terms and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms).

Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 16 - GOVERNING LAW

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Italy.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. Your continued use of or access to our website or the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
